End User License Agreement

1. What you're buying

You're buying a Skill Pack: a ZIP archive containing one StartupFormulas agent skill packaged in the open Agent Skills standard. The pack includes a system prompt, any required resources (YAML configs, templates, reference data), and install instructions. It does not include hosted services, ongoing support, or implementation labor — those are sold separately under our Engagements offerings.

2. License grant

StartupFormulas grants you a non-exclusive, non-transferable, worldwide, perpetual license to install and use the Skill Pack on devices and AI agent runtimes you control, for your own business use and the use of businesses you operate (including acquired or managed companies in your portfolio). One purchase entitles you to install the Skill Pack on as many of your own agents and devices as you need to run your operations.

3. What you may not do

• Resell, rent, sublicense, or redistribute the Skill Pack or any substantial portion of it to a third party.
• Remove attribution to StartupFormulas from the Skill Pack files or any derivative.
• Use the Skill Pack to build a commercial product that substantially replicates the Skill Pack's functionality for resale to third parties.
• Use the Skill Pack to train, fine-tune, or evaluate a competing commercial agent-skill product.
• Misrepresent the Skill Pack as your own original work in contexts where attribution matters (marketing, publication, consulting deliverables to clients).

You may freely adapt the system prompt and configuration for your own internal operations. The restrictions above target redistribution and resale, not adaptation.

4. Ownership

StartupFormulas retains all intellectual property rights in the Skill Pack, including the system prompts, packaging, and accompanying documentation. Nothing in this agreement transfers ownership to you. Your purchase grants a license, not a sale of the underlying intellectual property.

5. No warranty

The Skill Pack is provided “as is” and “as available” without warranty of any kind, express or implied. StartupFormulas does not warrant that the Skill Pack will meet your specific requirements, operate without error in your particular AI runtime, produce specific business outcomes, or remain compatible with future versions of any third-party agent platform. You are responsible for your own legal, regulatory, and compliance review before deploying any skill into a production environment.

6. Limitation of liability

To the maximum extent permitted by applicable law, StartupFormulas' total cumulative liability arising out of or relating to this license is capped at the amount you paid for the Skill Pack (typically a small dollar amount per skill). StartupFormulas is not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost data, business interruption, or the cost of substitute services, even if advised of the possibility of such damages.

7. Your compliance responsibility

Many StartupFormulas Skill Packs operate in regulated areas (TCPA, FDCPA, FTC pricing rules, two-party-consent recording laws, USPS regulations, state license requirements, antitrust considerations, etc.). The Skill Pack provides defaults and guardrails; it does not provide legal advice and is not a substitute for counsel review. You are solely responsible for confirming that your use of the Skill Pack complies with the laws of the jurisdictions in which you operate.

8. Updates and revisions

Your purchase entitles you to the Skill Pack as delivered at the time of download. StartupFormulas may publish updated versions; you may receive these at our discretion as part of a good-faith policy, but updates are not contractually guaranteed. Material content revisions may be released as a new Skill Pack with a new purchase price.

9. Refunds

We offer a no-questions-asked refund within 14 days of purchase if the Skill Pack doesn't fit your needs. Request the refund through the form at startupformulas.com/get-started with your order ID in the message. After 14 days, sales are final.

10. Termination

Your license terminates automatically if you materially breach this agreement (notably the restrictions in section 3) and fail to cure the breach within thirty days of written notice. Upon termination you must stop using the Skill Pack and delete your copies. Sections 4, 5, 6, and 11 survive termination.

11. Governing law and disputes

This agreement is governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Any dispute that the parties cannot resolve through good-faith discussion will be resolved by binding arbitration in Travis County, Texas, under the American Arbitration Association Commercial Rules. Either party may seek injunctive relief in the state or federal courts located in Travis County for breaches of intellectual property rights.
